1. Introduction
These terms of use ("Terms") explain how you may use this website (the "Site"). References in these Terms to the Site include forgionecounsel.ca and all associated web pages. You should read these Terms carefully before using the Site. By accessing or using the Site, or otherwise indicating your consent, you agree to be bound by these Terms and the documents referred to in them. Definitions. "Content" means any text, images, video, audio, or other material submitted to, appearing on, or accessible from the Site. "We," "us," or "our" means Forgione Deal and Corporate Counsel Professional Corporation, whose registered office is at 4145 N Service Rd., 2nd Floor, Burlington, ON L7L 6A3. "You" or "your" means the person accessing or using the Site or its Content.
Privacy Policy. These Terms should be read together with our Privacy Policy, which explains how we collect, use, and disclose personal information. In the event of any conflict between these Terms and our Privacy Policy with respect to the handling of personal information, the Privacy Policy shall govern.

2. No Solicitor-Client Relationship; No Legal Advice
Use of this Site, including submitting an inquiry, contact form, or intake form, does not create a solicitor-client relationship between you and the Firm or any of its lawyers. A solicitor-client relationship is formed only once the Firm has confirmed engagement in writing, including a signed engagement letter and completion of any applicable conflict check.
The content on this Site, including articles, audit tools, and general information about our practice areas, is provided for general informational purposes only and does not constitute legal, financial, or other professional advice. It should not be relied upon as a substitute for advice from a licensed lawyer regarding your specific circumstances. Laws change frequently, and content on this Site may not reflect the most current legal developments.
3. Restrictions on Use
The Site is for your personal and non-commercial use only, or for the legitimate business purpose of engaging or evaluating our legal services. As a condition of your use of the Site, you agree not to:

4. Ownership and Intellectual Property
This Site and all intellectual property rights in it, including without limitation all text, graphics, logos, design, and Content, are owned by the Firm and/or its licensors, and are protected by Canadian and international copyright and trademark law. All such rights are reserved.
Nothing in these Terms grants you any rights in the Site beyond what is necessary to access and use it for its intended purpose. You agree not to remove or alter any intellectual property notices contained on the Site.
Trademarks. "Forgione Deal and Corporate Counsel" and "Corporate Quarterback" are marks of the Firm. Other trademarks and trade names that may appear on the Site are the property of their respective owners. Nothing on the Site grants any licence or right to use any trademark without the prior written permission of its owner.
5. Submitting Information to the Site
This Site is not a secure means of communication. Please do not send confidential or sensitive information through the Site, by email, or by SMS text message until a formal solicitor-client relationship has been established in writing. Information you send to the Firm before an engagement is confirmed may not be treated as confidential or privileged, and the Firm may already represent parties with interests adverse to yours.
Where the Site enables you to submit inquiries or other communications to us, you agree not to transmit unlawful, harmful, or offensive material. We reserve the right, but assume no obligation, to monitor or review communications submitted through the Site.
6. Accuracy of Information and Availability of the Site
While we use reasonable efforts to keep the Site accurate and up to date, we do not represent or warrant that any Content is complete, current, or free of errors. Content on the Site is provided for general informational purposes only and does not constitute legal, financial, or other advice, and should not be relied on as such. We make commercially reasonable efforts to keep the Site available but do not guarantee uninterrupted access, and we may suspend or modify the Site at any time.

8. SMS and Electronic Communications
If you provide your mobile phone number or email address to the Firm, you consent to receive electronic communications, including SMS text messages and emails, related to scheduling, document signing, and matter updates, in accordance with our Privacy Policy. Message frequency varies depending on your matter and will not exceed approximately 4-8 messages per month under normal circumstances. Message and data rates may apply. You may reply STOP at any time to opt out, START to opt back in, or HELP for assistance. Your mobile information will not be shared with third parties for their own marketing purposes.
9. Warranties and Limitation of Liability
Your use of the Site is on an "as available" basis. Except as required by applicable law, we make no representations or warranties of any kind, express or implied, regarding the Site or its Content, including as to completeness, accuracy, or fitness for a particular purpose.
To the maximum extent permitted by law, we exclude all liability arising from your use of, or inability to use, the Site, including any loss of revenue, profits, or reputation, or any indirect or consequential loss. Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law.

These Terms are governed by, and construed in accordance with, the laws of the Province of Ontario and the federal laws of Canada applicable therein. You agree to submit to the exclusive jurisdiction of the courts of Ontario for any disputes arising from these Terms or your use of the Site.
We may update these Terms from time to time. The updated version will be posted on this page with a revised "Last updated" date, and your continued use of the Site following any change constitutes acceptance of the revised Terms.
All notices to us under these Terms must be in writing and sent to the contact address below. If any part of these Terms is found unenforceable, the remainder will continue in full force and effect. You may not assign or transfer your rights or obligations under these Terms without our prior written consent.
These Terms, together with our Privacy Policy and Copyright and Disclaimer notice, contain the entire agreement between you and us in relation to your use of the Site and supersede any prior representation or communication not contained herein.
